Terms & conditions

Delahaye Solutions, based in Voerendaal, the Netherlands, hereinafter "we", applies the following terms and conditions to all its services. By using our services you agree to these terms.

Engagement

Every engagement is agreed in writing with a fixed project price and a defined scope. Work beyond that scope is quoted separately and only carried out after your approval.

Payment

Unless agreed otherwise: 50% deposit on agreement, 50% on delivery (larger projects may be invoiced in instalments). Invoices are payable within 14 days. We may suspend work in the event of late payment.

Ownership

After full payment, all rights to the delivered work transfer to you — including source code, domain and content. Until then the rights remain with us. We retain the right to show the work as a reference, unless you exclude this in writing.

Guarantee

Not satisfied with the first design? Then you pay nothing and the engagement ends at no cost. This guarantee applies to the design phase; changes after that are considered additional work.

Hosting & maintenance

Maintenance and hosting subscriptions are billed monthly and can be cancelled monthly, unless agreed otherwise in writing. On termination we hand the work over to you cleanly.

Third-party services

For components such as hosting, email delivery and analytics we rely on external providers. The terms of the relevant provider may apply to those components.

Confidentiality

We treat all information you provide as confidential and do not share it with third parties, except as needed to perform the engagement or as required by law.

Liability

Our liability is limited to the invoice value of the engagement in question. We are not liable for indirect or consequential damage. This limitation does not apply in the event of intent or wilful recklessness.

Force majeure

In the event of force majeure (such as supplier outages or infrastructure failures) our obligations are suspended. If the force majeure lasts longer than 30 days, either party may terminate the agreement for the part not yet performed.

Complaints

Have a complaint about our service? Let us know within 14 days and we’ll work towards a solution together.

Governing law

Dutch law applies to our agreements. Disputes are preferably resolved by mutual agreement and otherwise submitted to the competent Dutch court.
